1. Introduction

Welcome to Algoritx. We are a software and AI solutions company offering Agentic AI development, custom software, and enterprise technology services to clients worldwide. These Terms and Conditions apply to all clients, visitors, and users who access our website or engage our services, regardless of location. By signing a service agreement, submitting a project brief, or making a payment to Algoritx, you confirm that you have read, understood, and agreed to these Terms.


2. Services

We provide professional engineering, technology, and AI consulting services, including:

Agentic AI Solutions

Autonomous Workflow Agents, AI Copilots, Decision and Planning Agents, Multi-Agent Systems, and RAG-Powered Knowledge Agents built to automate and enhance business operations.

Custom Software Development

Tailored software solutions for startups, enterprises, and pilot projects across various industries.

Pilot Projects

Scoped, time-bound engagements designed to validate a concept or deliver a proof of concept before full-scale development.

Consulting and Strategy

Technology advisory services to help businesses plan, evaluate, and implement AI or software solutions.

Note: The exact scope, deliverables, and timelines for each engagement will be defined in a separate Statement of Work (SOW) or project agreement.


3. Client Obligations

To ensure successful execution and delivery, the client agrees to:

  • Provide accurate, complete, and timely information required for project delivery.
  • Assign a designated point of contact to facilitate communication and approvals.
  • Review and respond to deliverables, milestones, or feedback requests within agreed timeframes.
  • Ensure any third-party content, data, or materials provided do not infringe intellectual property rights or applicable laws.
  • Not use Algoritx deliverables for unlawful, harmful, or unethical purposes.

4. Fees and Payment

Pricing, invoicing structures, and payments are governed by the following rules:

  • All pricing will be outlined in the relevant project proposal or SOW.
  • Algoritx may require a deposit or upfront payment before commencing work.
  • Invoices are due within the timeframe specified on the invoice.
  • Late payments may incur a fee of up to 5% per month.
  • Payments are non-refundable once work on a milestone or phase has commenced unless agreed otherwise in writing.

5. Intellectual Property

Rights and ownership over deliverables, tools, and platforms are defined as follows:

Client-Owned Deliverables

Upon full payment, ownership of final agreed deliverables transfers to the client unless otherwise specified.

Algoritx-Retained IP

Algoritx retains ownership of pre-existing tools, frameworks, methodologies, proprietary code, and internal systems.

Third-Party Components

Deliverables may include third-party libraries or open-source components subject to their respective licenses.

AI Model Outputs

Rights relating to AI-generated outputs are governed by applicable AI platform terms and international law.


6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives project termination. Algoritx may reference the client's name and general project nature in marketing materials unless otherwise requested in writing.


7. AI-Specific Terms

Since we deliver advanced autonomous and generative AI architectures, the client acknowledges:

  • AI system performance depends on data quality, integrations, and client configuration.
  • Algoritx does not guarantee specific AI output accuracy, uptime, or autonomous decision-making results unless agreed in writing.
  • Clients are responsible for validating AI-generated outputs before use.
  • Algoritx is not liable for decisions made by autonomous agents operating within client-deployed systems.

8. Data and Privacy

Data usage and compliance with GDPR are outlined as follows:

  • Client data is handled according to internationally recognized data protection principles, including GDPR guidelines.
  • Client data is used solely for delivering agreed services.
  • Clients are responsible for obtaining necessary end-user consents.
  • The Algoritx Privacy Policy forms part of these Terms.

9. Limitation of Liability

Liability caps and boundaries for our engagements:

  • Total liability shall not exceed the fees paid for the specific project.
  • Algoritx is not liable for indirect, incidental, consequential, or punitive damages.
  • These limitations apply to the fullest extent permitted by law.

10. Termination

Client Termination Rights

Clients may terminate an engagement with written notice. Completed work up to termination remains payable.

Algoritx Termination Rights

Algoritx may terminate engagements for breach of terms, non-payment, or conduct that compromises the project.

Survival of Obligations

Confidentiality, intellectual property, payment, and liability obligations survive termination.


11. Governing Law and Dispute Resolution

Disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes will be referred to binding arbitration under International Chamber of Commerce (ICC) rules, conducted in English.


12. Amendments

Algoritx reserves the right to update these Terms at any time. Continued engagement after updates constitutes acceptance of revised Terms.
